Destined Club Oy – Terms of use and end user licence agreement

We welcome you to use the Destined Club app. These Terms of Use and End User Licence Agreement (the “Terms”) apply to your use of all online and mobile services such as application and websites (the “Services”) provided by Destined Club Oy (Business ID 3458748-7), a Finnish company having its registered office at Köydenpunojankatu 7 A 6, 00180 Helsinki, Finland. Destined Club Oy is hereinafter referred to as “Destined Club”, “we”, “us” or “our”.

You must agree to these Terms before accessing or using the Services and these Terms constitute an agreement between you and us. By accessing, using, downloading or installing the Services, you confirm that you have read and understood these Terms and other documentation referred to herein. You may also be required to register an account in order to use the Services. Please do not install, access or use the Services if you do not accept these Terms.

We reserve the right to change and amend these Terms or the Privacy Policy referred to hereafter due to changes in the Services, service production or regulatory requirements. Changes to the Service and to these Terms of use will be notified to you in the Service or by email at least one month before the changes come into effect. By continuing the use of the Services you accept the updated Terms and the Privacy Policy.

By accessing, using, downloading or installing the Services you agree to the processing of your personal data as further described in our Privacy Policy.

USE OF THE SERVICES

The Services are provided to you solely for your personal and non-commercial use and you agree not to use the Services for any other purpose. To extent permitted by applicable legislation, you agree to be solely responsible for all your use of the Services, and for all your communication, activity and interaction in connection with the Services. In case you fail to comply with these Terms or any applicable legislation, we may suspend, terminate, limit or delete your access to the Services. You may neither use any means to use the Services in a manner that disrupts the Services or is not in accordance with these Terms or the spirit of fair play.

LICENCE TERMS

Destined Club grants you a limited, personal and non-transferable, non-exclusive, non-sublicensable and revocable licence to use the Services. The licence to use the Services remains in effect until terminated by us or you.

The Services are licensed to you and you agree that we as the licensor own all rights of the Service and retain the ownership of the Service. We reserve all rights to the Service and you may not copy, modify, sell, distribute, reproduce or otherwise exploit the Services or its contents, unless expressly permitted in these Terms.

USER CONTENT

Destined Club may enable you to upload, post and share photos, video, comments or other content to and through the Services (“User Content”). You are solely responsible for complying with all applicable laws to your User Content and agree not to submit any harmful, inappropriate, abusive, inaccurate or otherwise illegal material or any material infringing or violating third parties’ rights, including intellectual property rights. You accept to use the Services at your own risk. We are not responsible for monitoring or pre-screening the User Content submitted in the Services and we are not responsible for the User Content in the Services.

By submitting User Content to the Service you agree and grant to us an irrevocable, unlimited, perpetual, royalty-free and worldwide license to your User Content and a right to copy, adapt, transfer and use your User Content.

INTELLECTUAL PROPERTY RIGHTS

The Services comprise our intellectual property rights such as copyright, trademarks, patents and trade secrets. The intellectual property rights included in the Services remain our sole property.

GOVERNING LAW AND DISPUTE RESOLUTION

These Terms are governed by the laws of Finland without regard to its principles of private international law or conflict of laws rules. Any dispute, controversy or claim arising out of or relating to these Terms will be resolved in the District Court of Helsinki.
